General Terms and Conditions

1. Scope of Application

1.1. These General Terms and Conditions (GTC) apply to all orders made through the Soul Resonance Music Online Shop (hereinafter referred to as Soul Resonance Music) in the version valid at the time of the conclusion of the contract.

1.2. The contractual language is German.

2. Contractual Partner

The purchase contract is concluded with Soul Resonance Music, Schillerstrasse 2a, 67141 Neuhofen, Owner: Timo Maneri, info@soul-resonance-music.com, Tax ID: 45 688 930 122.

3. Conclusion of Contract

3.1. The presentation of products in the online shop does not constitute a legally binding offer but an invitation to place an order. All offers are valid "while supplies last" or as long as the product is available unless otherwise noted on the product. Errors excepted.

3.2. By clicking the [Buy/Order with Obligation to Pay] button, you place a binding order for the items listed on the order page. Your purchase contract comes into effect when we confirm your order via email immediately after receiving your order.

3.3. For digital goods, Soul Resonance Music grants the customer a non-exclusive, unlimited right to use the provided digital content for private and non-commercial purposes. Sharing or reproducing the content for third parties is not permitted unless permission has been granted by Soul Resonance Music.

4. Prices and Payment

4.1. The prices listed on the product pages include statutory VAT and other price components.

4.2. The purchase price is due immediately upon ordering. Payment for the goods is made using the payment methods provided. If payment is not received 30 days after the due date, Soul Resonance Music may charge interest on arrears at the statutory rate and reminder fees.

4.3. The customer may only offset claims against Soul Resonance Music with undisputed, legally established, or ready-for-decision counterclaims.

5. Delivery and Shipping Costs

5.1. Shipping of the ordered goods will take place according to the agreements made. Shipping costs are listed in the product description and are shown separately on the invoice.

5.2. Digital goods will be made available to the customer electronically either as a download or via email.

6. Additional Terms for In-Person Seminars

The seminar participant agrees to the additional participation terms for in-person seminars. These can be found here (insert link) and take precedence.

7. Additional Terms for Online Seminars

7.1. The seminar fee is due in full without deductions by the start of the seminar. For payments from abroad, participants must bear all additional costs, such as currency conversion fees and bank transfer charges.

7.2. The content and schedule of the online seminar, as well as the assignment of lecturers, may be modified while maintaining the overall nature of the seminar.

7.3. Soul Resonance Music reserves the right to cancel the seminar for important reasons – particularly due to lecturer illness or insufficient participant numbers – with a full refund of any seminar fees already paid.

7.4. Cancellation Terms

7.4.1. Cancellations made up to 4 weeks before the seminar start date are free of charge.

7.4.2. For cancellations made between 4 weeks and 7 days before the seminar start date, 30% of the seminar fees will be charged.

7.4.3. For cancellations made within 7 days of the seminar start date, 80% of the seminar fees will be charged. This also applies to non-attendance by the registered participant.

7.5. For open seminars, it is possible to nominate a replacement participant at any time free of charge instead of canceling.

7.6. Compliance with the cancellation deadlines is based on the date of receipt by Soul Resonance Music. Cancellations and rebookings must be made in writing (by post or email). These will be confirmed in writing by Soul Resonance Music. Cancellation fees will be offset against any seminar fees already paid.

8. Right of Withdrawal for Digital Download Items

No right of withdrawal for digital content: When purchasing digital content (e.g., software, e-books, music files) that is not delivered on a physical medium, the right of withdrawal does not apply once the execution of the contract has begun and the consumer has expressly agreed that they waive their right of withdrawal with the start of the contract execution.

9. Provisions for Downloads

9.1. If the customer purchases digital content for permanent download, such as audio and video files (hereinafter "Download"), these can be downloaded after completing the order via the link provided. Soul Resonance Music does not guarantee the availability of download options after 14 days from the date of purchase. It is therefore the customer's responsibility to download the content promptly and secure it on their device (e.g., via backup).

9.2. Soul Resonance Music reserves the right to temporarily or permanently change, interrupt, or discontinue the possibility of re-downloading. This applies particularly in the case of important reasons for removing the download, such as disputes over possible legal violations by the content of the download.

9.3. Soul Resonance Music does not transfer ownership of the downloads. The customer acquires a simple, non-transferable, and revocable right to use the download for personal, non-commercial purposes after the download option is provided and full payment is received.

9.4. Unless otherwise agreed with the customer, it is prohibited to modify the downloads in any way or use altered versions, copy them for third parties, make them publicly accessible, share them, post them online in paid or unpaid networks, imitate them, resell them, or use them for commercial purposes. Transferring the rights to third parties is prohibited.

9.5. The customer is responsible for ensuring that they have suitable software to open the downloads.

10. Copyright

All content on this website (including text, images, graphics, sound, animations, and videos) as well as its arrangement is subject to copyright protection and other protective laws. The content of these websites may not be copied, distributed, modified, or made accessible to third parties for commercial purposes without the consent of the respective rights holder.

11. Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR). This platform is intended as a point of contact for the out-of-court settlement of disputes related to online purchase and service contracts. The platform can be accessed at http://ec.europa.eu/consumers/odr/. Soul Resonance Music does not participate in dispute resolution procedures before a consumer arbitration board.

12. Final Provisions

12.1.1. Should any clause of these general terms and conditions be invalid, the statutory provision will apply in its place. The remaining provisions remain unaffected.

12.1.2. The parties agree that the competent court in Cologne shall have exclusive jurisdiction over all disputes.

12.1.3. This contract is governed by German law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
